Fertitta Entertainment, Inc. → Caesars Entertainment, Inc.
Caesars Entertainment has agreed to be acquired by Fertitta Entertainment in an all-cash transaction valued at about US$17.6bn, including the assumption of about US$11.9bn of Caesars debt. Shareholders are to receive US$31.00 in cash per share. Caesars, a casino-entertainment operator with online sports betting, iCasino and poker, will become a wholly owned subsidiary of Fertitta Gaming Holdco, LLC through a merger. The deal needs approval from Caesars shareholders, expiry of the waiting period under the Hart-Scott-Rodino (HSR) Act and certain gaming regulatory approvals. The agreement allows either party to terminate if the merger has not closed by 27 May 2027, a date that can be extended in stages to 27 November 2027 if only antitrust or gaming approvals are outstanding. Caesars shares will be delisted from NASDAQ on completion.
