Evolution Malta Holding Limited → Galaxy Gaming, Inc.
Evolution Malta Holding Limited has terminated its agreement to acquire Galaxy Gaming, Inc., Galaxy disclosed in a Form 8-K on 21 July 2026. Under the merger agreement, dated 18 July 2024, Galaxy was to become a wholly owned subsidiary of Evolution.
Galaxy had said on 20 July 2026 that two gaming regulatory approvals needed for closing had not been obtained by the outside date of 17 July 2026, and that Evolution had not waived those conditions. Under the agreement, Evolution is required to pay Galaxy a termination fee of US$5,234,678 within two business days of termination.
Galaxy develops and distributes games, bonusing systems and technology for physical and online casinos.
